Aspen Technology Receives Staff Determination from Nasdaq

October 4, 2007

BURLINGTON, Mass.--(BUSINESS WIRE)--Oct. 4, 2007--Aspen Technology (Nasdaq: AZPN) today announced that it received a Nasdaq Staff Determination on October 1, indicating that the Company fails to comply with the filing requirements for continued listing set forth in Marketplace Rule 4310(c)(14) as a result of its failure to file timely with the Securities and Exchange Commission its annual report on Form 10-K for the year ended June 30, 2007, and that the Company's securities are therefore subject to delisting from The Nasdaq Global Market. The Company has requested a hearing before a Nasdaq Listing Qualifications Panel to review the Staff Determination. There can be no assurance that the Panel will grant the Company's request for continued listing.

The delay in AspenTech's filing of its Form 10-K is attributed to the previously announced intention to restate certain historical financial statements. The Company is working diligently to complete its annual report on Form 10-K.
